The Corporation articulates a hierarchy and system of governance that promotes transparency and the mechanisms for checks and balances to ensure accountability at all levels of the Company.
Governance is implemented through a two-tier management structure, the Board and the Executive Directorate. The Board focuses its attention on matters affecting the Company's overall strategic policies, finances and shareholders while generally adopting a supervisory role by delegating the day-to-day management of the Company's business to the Executive Directorate.
The Executive Directorate comprises the Chief Executive Officer plus seven divisional heads. Collectively, they oversee the ongoing management of the Company and, together with senior managers, regularly report to the Board on the performance of the principal activities of the Company.
The framework that links risk strategy with corporate governance is embedded in the policies that govern the seven areas of management – construction, property development and management, legal and procurement, human resources, international and China business development, operations and finance. Polices, while formulated and implemented at the management level, are under direct supervision of the Board through various committees and whose approval and any changes to policy is required for enactment.
The Steering Committee (Sustainability and CSR) ensures the implementation of policy and initiatives pertaining to sustainable best practices. Chaired by the Director of China and International Business, it supervises the corporate-wide Sustainability Policy, CSR Guideline, and all subsequent related initiatives, programmes and proposals. The Steering Committee reports directly to the Executive Directorate on a timely basis.
